sed potential business mergers, but therelevant discussions did not proceed. No agreement has been reached, and it has now ended on Dec-
ember 12th. SGS will continue to focus on executing its Strategy 27 of 'Accelerating Growth, Building Trust' and providing outstanding value
to shareholders. And Bureau Veritas will continue to fully promote it. In its' LEAP | 28 'strategy, it is committed to achieving a leap forward
in growth and performance.

The merger negotiations were originally planned to be completed through an all stock transaction, with an estimated market value of over 30
billion euros and a total of over 180000 employees. However, negotiations have stalled due to SGS's concerns about potential risks associate-
d with the merger Bureau, including the difficulty of integration and the complexity of obtaining approval from regulatory agencies in various
